PLEASE READ THESE TERMS CAREFULLY

These Terms of Use (“Terms”) govern your access to and use of websites, masterclasses, discovery calls, educational programs, coaching services, communities, digital materials, and other products and services provided by BrightLife, Inc. (“BrightLife,” “Company,” “we,” “us,” or “our”), including Trich-Free for Life™ and related offerings.

By accessing or using our Services, registering for an event, creating an account, purchasing or enrolling in a Program, or otherwise using our websites or materials, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the Services.


1. ABOUT BRIGHTLIFE AND DEFINITIONS

1.1 BrightLife, Inc.

BrightLife, Inc. provides educational programs, coaching, training, skill development, communities, and related resources.

For purposes of these Terms, “BrightLife,” “Company,” “we,” “us,” and “our” mean BrightLife, Inc., together with the assumed names, trade names, and brands under which it operates, including Trichotillomania Relief Specialists™, Trich-Free®, Trich-Free.com, Trich-Free for Life™, and TF365™, and, where the context requires, its parents, subsidiaries, and affiliates.

Services may be marketed, delivered, or communicated under any of these names. References in these Terms to BrightLife apply equally to Services provided under any assumed name or brand.

1.2 Site

“Site” means websites and webpages owned, operated, or controlled by BrightLife, including websites associated with Trich-Free for Life™ and other BrightLife offerings.

1.3 Services

“Services” means our Sites, Programs, masterclasses, discovery calls, coaching sessions, live support, community features, events, digital resources, communications, and other products or services provided by BrightLife.

1.4 Trich-Free for Life™

“Trich-Free for Life™” means BrightLife’s educational and coaching program for individuals and families affected by hair pulling.

The Program provides structured education, skill development, coaching support, and related resources designed to help participants develop greater awareness of their patterns, strengthen self-regulation, respond more intentionally, and build greater self-trust and behavioral flexibility.

Trich-Free for Life™ incorporates the proprietary Trich-Free Mindset Solution™ and related BrightLife methods and materials.

The specific features, duration, access period, coaching support, community access, materials, and other Services included in a participant’s enrollment are those described in the applicable offer and Program Enrollment Agreement.

1.5 Trich-Free Mindset Solution™

“Trich-Free Mindset Solution™” means BrightLife’s proprietary educational and coaching system taught within Trich-Free for Life™, including its interconnected concepts, frameworks, methods, terminology, exercises, teaching sequences, and related materials.

The Trich-Free Mindset Solution™ is an educational and coaching methodology and is not medical or mental-health treatment.

1.6 Programs

“Program” or “Programs” means Trich-Free for Life™, the Trich-Free Mindset Solution™, and other educational, coaching, membership, training, or digital programs offered by BrightLife.

1.7 Content

“Content” means videos, audio, text, graphics, worksheets, trackers, exercises, frameworks, methods, training materials, presentations, downloads, recordings, designs, photographs, software, and other materials provided through the Services.

1.8 Additional Agreements

Additional terms may apply to a particular Program, purchase, membership, event, promotion, or Service.

If you enroll in a paid Program, you may also be required to accept a separate Program Enrollment Agreement or Client Services Agreement.

If there is a conflict between these Terms and a specific written agreement applicable to your purchase, the specific agreement controls as to the subject matter it expressly addresses.

1.9 Who These Terms Protect

In addition to BrightLife, Inc., the disclaimers, limitations of liability, indemnities, and other protective terms in these Terms are intended to benefit BrightLife’s parents, subsidiaries, affiliates, successors and assigns; officers, directors, shareholders, members and managers; and its employees, coaches, facilitators, presenters, independent contractors, consultants, agents, and licensors.

Collectively, these persons and entities are referred to as the “BrightLife Parties.”

Where these Terms describe a Service as educational or coaching in nature, describe the absence of a licensed healthcare relationship, disclaim guarantees of outcome, or limit liability, those provisions apply equally to the individuals delivering the Service and to BrightLife.


2. ELIGIBILITY, MINORS, AND PARENTAL CONSENT

2.1 Adults Contract for Services

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to purchase a BrightLife Program or Service.

2.2 Minor Participants

Certain BrightLife Programs may permit participation by minors between the ages of thirteen (13) and seventeen (17).

A minor may participate only with the authorization and involvement of a parent or legal guardian.

When a Program is purchased for a minor:

  • the parent or legal guardian is the contracting party and client of record;

  • the parent or legal guardian is responsible for payment;

  • the parent or legal guardian must agree to these Terms and any applicable Program Enrollment Agreement;

  • the parent or legal guardian is responsible for determining whether participation is appropriate for the minor; and

  • the parent or legal guardian is responsible for obtaining any professional guidance or care they believe is appropriate.

Additional parental-consent, privacy, recording, or participation agreements may be required.

2.3 Children Under 13

Our online Programs and community Services are not intended for independent use by children under thirteen (13).

We do not knowingly collect personal information online directly from children under 13 without appropriate parental authorization where required by law.

3. EDUCATIONAL AND COACHING NATURE OF OUR SERVICES

Trich-Free for Life™ and related BrightLife Programs provide education, coaching, training, and skill development.

They are not medical care, psychotherapy, psychiatric treatment, psychological treatment, or other licensed healthcare services.

Our Programs may teach participants ways to develop greater awareness of patterns, self-regulation skills, intentional responding, behavioral flexibility, and self-trust.

Participation in a BrightLife Program does not create a physician-patient, therapist-client, psychologist-patient, counselor-client, or other licensed healthcare-provider relationship with BrightLife or any BrightLife coach, presenter, employee, contractor, or representative.

Coaching communications generally do not carry the same legal privilege that may apply to communications within certain licensed professional relationships.

Except where an individual is expressly identified as a licensed professional and is expressly acting within the scope of that license, BrightLife coaches and facilitators are acting as coaches, educators, or trainers—not as licensed healthcare providers.


4. NOT MEDICAL OR MENTAL-HEALTH TREATMENT

Trichotillomania and other body-focused repetitive behaviors may involve behavioral, emotional, sensory, medical, psychological, neurological, developmental, environmental, or other factors that differ substantially among individuals.

BrightLife does not represent that Trich-Free for Life™, the Trich-Free Mindset Solution™, the CAR Method™, or any other BrightLife framework diagnoses, treats, cures, prevents, or eliminates trichotillomania or any medical or mental-health condition.

Nothing in our Services should be interpreted as individualized medical, psychiatric, psychological, or other healthcare advice.

BrightLife does not prescribe medication or advise participants to begin, change, reduce, or discontinue medication or professional treatment.

You should consult an appropriately qualified healthcare professional regarding medical or mental-health conditions and before changing treatment, therapy, medication, or other professional care.

Our Programs may be used alongside professional care when appropriate but are not substitutes for that care.

You remain responsible for decisions regarding your own care and, when applicable, decisions made as a parent or guardian for a minor participant.


5. EMERGENCIES AND LIMITS OF COACHING CONFIDENTIALITY

BrightLife Programs, coaching sessions, community spaces, email accounts, text messages, and other communication channels are not emergency or crisis-response services and are not continuously monitored.

If you believe you or another person is experiencing an immediate medical, mental-health, or safety emergency, do not use the Services to seek emergency help. Contact appropriate emergency services, a local crisis service, the nearest emergency department, or a qualified healthcare professional.

BrightLife coaches, staff, and communities cannot provide crisis response, and messages sent through Program platforms, community spaces, email, or text may not be seen promptly.

BrightLife takes reasonable measures to protect participant information as described in our Privacy Policy. However, coaching communications are not necessarily legally privileged.

BrightLife may disclose information when required by applicable law or valid legal process, or when otherwise legally permitted or required to address safety, protect legal rights, or comply with legal obligations.

Group Programs and communities involve communication with other participants. BrightLife cannot guarantee that another participant will comply with confidentiality expectations.

Participants should exercise discretion when deciding what personal information to share in a group environment.


6. NO GUARANTEE OF RESULTS

BrightLife is committed to providing thoughtful educational materials, coaching, tools, and support. Human behavior and personal change, however, are individual and complex.

We do not guarantee any particular result from participation in a BrightLife Program.

Results may vary based on many factors, including participation, practice, individual circumstances, environment, health, developmental factors, prior experiences, outside support, and other variables beyond BrightLife’s control.

Without limiting the foregoing, BrightLife does not guarantee:

  • that a participant will stop or eliminate hair pulling;

  • that urges to pull will disappear;

  • that a participant will achieve any particular degree of behavioral control;

  • that a participant will experience a particular emotional or psychological result;

  • that hair will regrow or regrow within any particular period;

  • that any particular strategy will work for every participant; or

  • that any particular outcome described in a testimonial, case example, presentation, advertisement, or other communication will be achieved by another participant.

References to an eight-week, twelve-week, or other Program timeframe describe the structure or duration of an offering, not a guaranteed timeframe for personal results.


7. TESTIMONIALS, PARTICIPANT STORIES, AND EXAMPLES

Testimonials, reviews, interviews, participant stories, and case examples describe individual experiences.

They are not promises, predictions, or guarantees that another participant will achieve the same or similar outcome.

Results vary from person to person.

Where a person providing an endorsement has received compensation, free services, a discount, or another material benefit from BrightLife, BrightLife will disclose that relationship as required by applicable law.

Some teaching examples may be illustrative or may combine common experiences for educational purposes. When an example is not the story of a specific participant, BrightLife will not knowingly present it as an actual identifiable client experience.

Identifying details in participant stories may be changed or omitted to protect privacy.

Public use of an identifiable participant’s testimonial, image, voice, or personal story may require separate permission as described in Section 12.


8. BRIGHTLIFE INTELLECTUAL PROPERTY

The Site, Services, Programs, and Content, including their design, structure, selection, organization, presentation, and underlying educational materials, are owned by or licensed to BrightLife and are protected by applicable copyright, trademark, trade-secret, and other intellectual-property laws.

BrightLife’s intellectual property includes, without limitation, its brand names, Program names, trademarks, service marks, logos, educational systems, proprietary methodologies, frameworks, concepts, teaching sequences, exercises, curricula, worksheets, trackers, scripts, presentations, graphics, videos, recordings, lesson materials, coaching materials, and other original Content.

BrightLife’s principal brands and proprietary systems include, as applicable:

  • BrightLife™;

  • Trichotillomania Relief Specialists™;

  • Trich-Free®;

  • Trich-Free for Life™;

  • Trich-Free Mindset Solution™;

  • CAR Method™;

  • Catch the Surge™;

  • TF365™; and

  • other names, marks, methods, frameworks, and proprietary materials identified within BrightLife Programs and Services.

This list is illustrative and not exhaustive. The omission of any name, phrase, concept, framework, method, work, or other proprietary material from these Terms does not waive or diminish any intellectual-property rights BrightLife may have in that material.

All copyrights, trademarks, trade names, service marks, trade secrets, proprietary methods, and other intellectual-property rights remain the property of BrightLife or their respective owners.

Nothing in these Terms transfers ownership of BrightLife intellectual property to you.

Participation in a Program gives you only the limited personal-use rights described in these Terms. It does not give you the right to reproduce, distribute, publish, teach, sell, license, certify others in, commercialize, create competing products or services from, or otherwise exploit BrightLife’s proprietary Content or methods without BrightLife’s prior written permission.

Trich-Free® is a registered trademark of BrightLife, Inc. 


9. PERSONAL-USE LICENSE AND PROHIBITED USES

Subject to your compliance with these Terms and payment of applicable fees, BrightLife grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and personally use the Services and Content provided to you.

Unless BrightLife gives prior written permission, you may not:

  • copy, reproduce, republish, sell, sublicense, distribute, or publicly display Content;

  • share Program login credentials or access with another person who is not authorized to participate;

  • record or screen-record Program Content or live sessions;

  • distribute worksheets, videos, slides, scripts, recordings, exercises, or other Program materials;

  • use BrightLife materials to provide training, coaching, clinical services, or other services to third parties;

  • incorporate BrightLife proprietary materials into another course, program, certification, workshop, book, coaching service, product, or commercial offering;

  • create commercial derivative works from BrightLife Content;

  • use BrightLife Content or methodologies to create or support a competing program or service;

  • scrape or systematically extract Program Content;

  • remove copyright, trademark, or proprietary notices;

  • circumvent security or access controls; or

  • use substantial proprietary BrightLife Content to train, fine-tune, populate, benchmark, or develop an artificial-intelligence model, dataset, course generator, or competing product.

You may use ordinary productivity or AI-assisted tools with your own notes, reflections, or personal work, provided you do not upload, redistribute, commercially reproduce, or use substantial proprietary BrightLife Content in violation of these Terms.

Unauthorized use may result in suspension or termination and may subject the user to other remedies available under applicable law.


10. LIVE COACHING AND COMMUNITY STANDARDS

Some Programs include live coaching, implementation support, practice sessions, workshops, question-and-answer sessions, or community participation.

Live coaching helps participants understand and apply educational concepts. It is not individualized healthcare or psychotherapy.

Participants agree to treat coaches, staff, and other participants respectfully.

Participants may not:

  • harass, threaten, bully, intimidate, discriminate against, or abuse another participant;

  • deliberately disrupt sessions or community spaces;

  • present themselves as a substitute for professional medical or mental-health care to other participants;

  • solicit participants for outside products, services, businesses, organizations, or commercial opportunities without permission;

  • collect another participant’s personal information for unrelated purposes;

  • impersonate another person;

  • distribute unlawful, defamatory, infringing, or harmful content;

  • record sessions without authorization; or

  • violate another participant’s privacy.

Statements made by other participants represent their own experiences and opinions. BrightLife does not necessarily endorse or verify statements made by participants.

BrightLife may warn, mute, remove, suspend, or terminate access when reasonably necessary to protect participants, the community, BrightLife, or the integrity of the Program.


11. GROUP PRIVACY AND CONFIDENTIALITY

Participants are expected to respect the privacy of others.

Unless the person concerned has given permission, you agree not to record, screenshot, photograph, publish, disclose, distribute, or otherwise share:

  • another participant’s identifying information;

  • another participant’s image or voice;

  • another participant’s personal story or circumstances;

  • another participant’s statements made during a private Program session or community conversation; or

  • recordings or reproductions of group coaching or community sessions.

BrightLife cannot guarantee that other participants will comply with these obligations.

Please avoid sharing information in a group setting that you are not comfortable disclosing in that environment.


12. RECORDING, LIKENESS, AND MARKETING PERMISSION

BrightLife may record certain classes, workshops, coaching sessions, demonstrations, or group events for participant replay, Program delivery, quality assurance, training, educational, or archival purposes.

When a session is intended to be recorded, BrightLife will provide notice as appropriate.

Where available, participants who do not wish to appear visually in a recording may be permitted to participate with their camera off or otherwise limit identifying information, subject to Program requirements.

Participation in a BrightLife Program does not, by itself, give BrightLife unrestricted permission to use a participant’s identifiable image, voice, name, private story, or personal information in public advertising or marketing.

BrightLife may obtain a separate testimonial, media, or likeness release before using identifiable participant material for external advertising or promotional purposes.

Separate parental or guardian authorization may be required before using identifiable material involving a minor.


13. ACCOUNTS AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree to provide accurate information and to update information when reasonably necessary.

Program access may not be shared with another household, participant, coach, clinician, organization, or business unless BrightLife expressly permits such access.

Notify BrightLife promptly if you believe your account has been accessed without authorization.


14. PROGRAM ACCESS AND CHANGES

Access periods vary among Programs and offers.

Your purchase provides access for the period disclosed on the applicable enrollment page, checkout page, order form, Program Enrollment Agreement, or other offer materials.

Unless BrightLife expressly describes access as lifetime access in writing, purchase of a Program does not create a right to perpetual access.

Digital Program access, live coaching access, and community access may have different durations.

BrightLife may make reasonable changes to Program presentation, sequence, technology, resources, schedules, coaches, community platforms, or delivery methods while continuing to provide the material substance of the purchased offering.

We may discontinue future sales of a Program without affecting an existing participant’s rights during their applicable access period.


15. PURCHASES AND PAYMENT

15.1 Payment

You agree to pay the price and any applicable taxes or charges disclosed when purchasing a Program or Service.

By providing a payment method, you represent that you are authorized to use it and authorize BrightLife and its payment processors to process applicable charges according to the purchase terms presented to you.

The price applicable to your purchase is the price disclosed at the time of purchase.

Promotional pricing applies only according to the terms of the applicable offer.

Unless otherwise expressly agreed in writing, Program pricing is stated as a single purchase price payable at enrollment.

15.2 Third-Party Financing

Purchasers who wish to pay over time may, where available, use an independent third-party financing or installment payment provider offered at checkout.

If you choose one of these options, the financing or payment arrangement is between you and the third-party provider and is subject to that provider’s approval, terms, payment schedule, interest, fees, and policies.

BrightLife does not make credit or financing decisions, does not underwrite the arrangement, and is not the lender.

BrightLife is not responsible for a third-party provider’s approval decisions, financing terms, servicing, collection practices, or credit reporting.

Where a third-party provider pays BrightLife on your behalf, your purchase is treated as paid to BrightLife according to the arrangement with that provider. Your payment obligations to the third-party provider are governed by your separate agreement with that provider.

15.3 Courtesy Payment Accommodations

In limited circumstances, BrightLife may, at its discretion, allow an amount due for a Program to be divided into multiple payments.

Any such arrangement is a courtesy payment accommodation and does not convert the purchase into a subscription, membership, month-to-month service, or pay-as-you-go arrangement.

Unless otherwise agreed in writing or required by law, completing, discontinuing, pausing, withdrawing from, or choosing not to participate in the Program does not cancel any remaining unpaid balance.

15.4 Billing Questions and Payment Disputes

If you believe a charge is incorrect, unauthorized, or duplicated, please contact us at [email protected] so we can review it.

We encourage customers to contact BrightLife and allow a reasonable opportunity to review and address a billing concern before initiating a payment dispute or chargeback.

Nothing in these Terms limits any right you have under applicable law to dispute an unauthorized or incorrect charge or to exercise another non-waivable consumer right.

BrightLife may provide applicable enrollment records, acceptance records, payment records, access history, and other relevant information to a bank, card issuer, financing provider, or payment processor when responding to a payment dispute.


16. REFUNDS AND CANCELLATIONS

Except as otherwise expressly stated in writing by BrightLife or required by applicable law, Program purchases are final and non-refundable.

Program materials and access are made available upon enrollment, and live coaching capacity and other Program resources may be reserved at that time. Enrollment is a commitment to the full purchase price.

Completing, discontinuing, pausing, withdrawing from, declining to participate in, or determining that a Program is no longer needed or is not the right fit does not create a right to a refund and does not reduce or cancel any remaining unpaid balance.

BrightLife does not guarantee any particular result from participation in a Program, and dissatisfaction with an outcome does not create a right to a refund.

BrightLife may, in its discretion, make an exception to this policy in unusual circumstances.

Any exception applies only to the specific situation in which it is granted and does not create an obligation to provide the same or a similar exception in another case.

Nothing in this Section limits any refund, cancellation, rescission, or other consumer right that applicable law does not permit a consumer to waive.


17. RECURRING MEMBERSHIPS AND AUTOMATIC RENEWAL

Certain BrightLife offerings, including continuing community or graduate-support services, may be offered separately as recurring memberships.

Recurring memberships are distinct from a Trich-Free for Life™ Program purchase, third-party financing, and a courtesy payment accommodation.

Before enrollment in a recurring service, BrightLife will disclose the applicable price, billing frequency, automatic-renewal terms, cancellation terms, and other information required by applicable law.

Where required by law, BrightLife will obtain affirmative consent to the recurring arrangement and provide confirmation and cancellation instructions.

A recurring service continues according to the terms presented at enrollment until canceled or otherwise terminated according to those terms and applicable law.

BrightLife will provide cancellation methods and renewal notices as required by applicable law.

Where BrightLife provides a period of complimentary access to a membership or community service as part of a Program enrollment or promotion, that access ends automatically at the close of the stated complimentary period unless otherwise expressly disclosed.

Complimentary access does not automatically convert to a paid recurring membership unless you separately agree to enroll in the paid service.


18. ELECTRONIC COMMUNICATIONS, EMAIL, AND TEXT MESSAGES

By registering for or purchasing a Service, you agree that BrightLife may provide agreements, disclosures, notices, account information, enrollment confirmations, schedules, reminders, billing notices, security notices, Program updates, and other service-related communications electronically.

Transactional and service communications may continue while reasonably necessary to administer a Service you requested.

Marketing email may be subject to separate consent and opt-out mechanisms. You may unsubscribe from marketing emails using the method provided in those communications.

Where you provide a mobile number and separately consent to text communications, BrightLife may send text messages according to the consent provided at the time of collection.

Consent to receive marketing text messages is not a condition of purchase where prohibited by applicable law.

Message and data rates may apply. Instructions for opting out of text communications will be provided as applicable.

Agreeing to these Terms does not independently create consent to receive marketing text messages where separate consent is required by law.


19. PRIVACY AND PERSONAL INFORMATION

BrightLife’s collection, use, disclosure, retention, and protection of personal information is governed by our Privacy Policy at:

The Privacy Policy is incorporated into these Terms by reference.

Participation in Programs involving minors, communities, live video, or sensitive personal information may be subject to additional privacy notices or consent procedures.

BrightLife uses reasonable measures designed to protect personal information. However, no internet-based system or electronic transmission can be guaranteed completely secure.

Please use appropriate judgment when deciding what personal or sensitive information to communicate electronically or in community spaces.


20. PARTICIPANT CONTENT AND FEEDBACK

You retain ownership of original personal content you submit to BrightLife, including personal reflections, journal entries, photographs, and original written materials.

When you voluntarily post material in a Program community, submit a question, or otherwise provide content for Program participation, you grant BrightLife a limited, non-exclusive license to host, display, reproduce, transmit, and use that material as reasonably necessary to provide and administer the Services.

This does not transfer ownership of your personal story to BrightLife.

If you voluntarily provide general ideas, suggestions, recommendations, feature requests, or feedback about BrightLife or its Programs, BrightLife may use that feedback without restriction or compensation to improve, develop, or operate its products and services.

This permission concerning feedback does not transfer ownership of private journals, personal stories, photographs, or other personal content merely because they were shared with BrightLife.

You represent that you have the right to provide content you submit and that doing so does not violate another person’s rights.


21. THIRD-PARTY SERVICES

BrightLife may use or link to third-party providers, including website hosts, course platforms, payment processors, independent financing providers, scheduling systems, video-conferencing services, community platforms, email and messaging systems, analytics providers, and social-media platforms.

BrightLife does not control and is not responsible for the independent acts, omissions, policies, underwriting decisions, security practices, availability, or terms of third-party providers.

Use of a third-party provider may also be governed by that provider’s own terms and privacy policy.

A link to or integration with a third-party service does not necessarily constitute BrightLife’s endorsement of everything provided by that service.


22. ACCURACY AND AVAILABILITY OF INFORMATION

BrightLife uses reasonable efforts to provide useful and accurate information, but we do not warrant that every piece of Content will always be complete, current, or error-free.

Educational Content reflects the information, experience, frameworks, and perspectives used by BrightLife and may be updated as our Programs develop.

BrightLife may correct, modify, update, or replace Content when appropriate.


23. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, PROGRAMS, SERVICES, AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BRIGHTLIFE DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

BrightLife does not warrant that:

  • the Services will always be available or error-free;

  • digital Content will be free of all technical defects;

  • every Program strategy will be appropriate or effective for every participant;

  • participation will produce a particular outcome; or

  • third-party services will operate without interruption.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BRIGHTLIFE PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE BRIGHTLIFE PARTIES ARISING FROM OR RELATING TO A PARTICULAR PAID PROGRAM OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BRIGHTLIFE FOR THAT PROGRAM OR SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These exclusions and limitations apply only to the extent permitted by applicable law and do not exclude or limit liability that cannot legally be excluded or limited.


24. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless the BrightLife Parties from third-party claims, damages, liabilities, and reasonable costs arising from:

  • your material breach of these Terms;

  • your unlawful use of the Services or Content;

  • content you submit that infringes another person’s rights;

  • your unauthorized reproduction or commercial use of BrightLife Content; or

  • your violation of applicable law or another person’s rights.

BrightLife reserves the right to control the defense of a claim subject to indemnification, and you agree to provide reasonable cooperation.

This Section does not require you to indemnify BrightLife for BrightLife’s own unlawful conduct where prohibited by law.


25. SUSPENSION, TERMINATION, AND REFUSAL OF SERVICE

BrightLife may reasonably suspend, restrict, or terminate access to a Program or Service because of:

  • material violation of these Terms;

  • nonpayment of an amount properly due;

  • unauthorized sharing or distribution of Program materials;

  • misuse of BrightLife intellectual property;

  • harassment or conduct that threatens or materially disrupts other participants;

  • misuse of community spaces;

  • fraud or security concerns; or

  • other serious conduct inconsistent with safe and lawful Program operation.

Where appropriate under the circumstances, BrightLife may provide notice or an opportunity to correct a violation before termination.

Termination for breach does not automatically create a right to a refund or cancel a valid outstanding payment obligation.


26. FORCE MAJEURE

BrightLife will not be responsible for a failure or delay caused by circumstances reasonably beyond its control, including natural disasters, severe weather, fire, epidemic or public-health emergency, war, civil unrest, governmental action, utility or internet outages, cyberattacks, widespread platform failures, or the serious illness or incapacity of a key presenter or coach.

When reasonably possible, BrightLife will attempt to reschedule affected live Services or provide an appropriate alternative.


27. ACCESSIBILITY

BrightLife is committed to making its Services reasonably accessible.

If you encounter an accessibility barrier or require a reasonable accommodation to participate in a Service, please contact us at [email protected], and we will work in good faith to address the request where reasonably possible.


28. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent another jurisdiction’s non-waivable consumer-protection law applies.

Before initiating formal legal proceedings, the parties are encouraged to attempt in good faith to resolve the dispute directly.

Subject to rights that cannot legally be waived, disputes arising from these Terms or the Services will be brought in the applicable state or federal courts located in Los Angeles County, California.

Nothing in these Terms eliminates rights or remedies that applicable consumer law does not permit a consumer to waive.


29. GENERAL PROVISIONS

29.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Program Enrollment Agreement, refund terms, parental consent, recurring-membership terms, or other terms expressly incorporated into a purchase, constitute the agreement governing the applicable Services.

29.2 Severability

If any provision is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed to the minimum extent necessary.

The remaining provisions will remain in effect.

29.3 No Waiver

BrightLife’s failure to enforce a provision does not waive its right to enforce that provision later.

29.4 Assignment

You may not assign your rights under these Terms without BrightLife’s prior written consent.

BrightLife may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the applicable business, subject to applicable law.

29.5 Survival

Provisions that by their nature should survive termination—including intellectual-property protections, outstanding payment obligations, confidentiality obligations, warranty disclaimers, limitations of liability, indemnification, and dispute provisions—will survive termination.

29.6 No Unauthorized Modification

These Terms, together with the Privacy Policy and any written agreement applicable to your purchase, state the terms governing the Services.

No statement, representation, assurance, or promise by any person—whether made during a call, in a message, presentation, or other communication—modifies these Terms, changes the terms of your purchase, or binds BrightLife unless BrightLife has confirmed it in writing.

Where BrightLife has provided a written confirmation or entered into a written agreement addressing a particular matter, that written document governs as to the matter it expressly addresses.


30. CHANGES TO THESE TERMS

BrightLife may update these Terms from time to time to reflect changes in our Services, business practices, technology, or applicable law.

When material changes are made, BrightLife will update the “Last Updated” date and provide additional notice where required by law.

Changes apply prospectively to the extent required by applicable law.

Changes to these general Terms will not retroactively alter material payment, refund, or other contractual rights associated with an existing purchase where prohibited by law.
